These Terms of Service (hereinafter referred to as the “Terms”) govern your access to and use of all services, software, websites, platforms, applications, and digital tools (collectively, the “Services”) made available by InfiniAds Labs Pte. Ltd., operating under the trading name “InfiniAds.ai” (“we,” “our,” or “us”). By accessing or using our Services, you agree to be bound by these Terms and to comply with all applicable laws and regulations. If you do not agree with any part of these Terms, you must not access or use our Services.

1. Nature of Services and Legal Disclaimer
InfiniAds.ai is an artificial intelligence (AI)-powered software provider that enables the creation, optimization, and analysis of digital advertising and user-generated content. All Services are built upon proprietary machine learning and generative AI technology. Users of the Services acknowledge and agree that all content, video, data, or media generated through InfiniAds.ai's platform is the result of automated, machine-generated processes and must be used in strict accordance with applicable laws, industry regulations, and advertising platform-specific guidelines.

InfiniAds.ai makes no representations or warranties regarding the accuracy, appropriateness, or reliability of content generated by its AI systems. We are not responsible or liable for the way in which any user chooses to use, publish, interpret, rely upon, or distribute outputs derived from our Services. Users bear full legal and ethical responsibility for their use of the platform, including compliance with data protection laws, intellectual property laws, advertising guidelines, and consumer protection regulations.

2. Licensing and Subscription Requirement
All access to InfiniAds.ai's AI-generated content, including scripts, videos, creative briefs, or associated data (collectively, “Content”), is subject to a valid, active, and paid subscription. Users without a paid subscription are not granted any license—explicit or implied—to use, copy, share, or publicly distribute such content.

A valid license is automatically granted to each user for the duration of their paid subscription, subject to these Terms. Upon expiration, cancellation, or suspension of a subscription, any license to use generated content shall immediately terminate. Users must cease all use of generated content unless explicitly permitted under a separate commercial agreement.

3. User Eligibility and Account Responsibility
To use the Services, individuals must be at least 13 years of age, or the minimum age required in their country to provide legal consent. If you are under the age of 18, your use of the Services must be supervised and approved by a parent or legal guardian, who shall be bound by these Terms on your behalf.

When registering for an InfiniAds.ai account, you agree to provide true, accurate, current, and complete information. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. You must not share your credentials or provide access to your account to third parties. If you create an account on behalf of a company or legal entity, you represent that you are duly authorized to bind that entity to these Terms.

4. Acceptable Use and Restrictions
You agree to use the Services solely for lawful, authorized purposes, in a manner consistent with these Terms, all applicable laws, and any published policies or documentation made available by InfiniAds.ai. You may not engage in activities that interfere with or disrupt the integrity or performance of our Services.

Specifically, you are prohibited from:

* Using the Services to create or disseminate pornography, explicit content, or any materials of a sexual nature.
* Using the Services to promote gambling, betting, lottery, or games of chance.
* Using the Services in connection with the distribution, marketing, or sale of illegal drugs or controlled substances.
* Engaging in scams, pyramid schemes, Ponzi operations, deceptive business models, or fraudulent practices.
* Misrepresenting AI-generated output as being human-authored or concealing its automated origin.
* Attempting to reverse engineer, copy, sublicense, or distribute our software or systems.
* Violating copyright, trademark, privacy, or publicity rights.
* Bypassing any limitations or usage restrictions imposed by our platform.

Violations of this section may result in the immediate termination of access to the Services, reporting to appropriate authorities, and legal proceedings to recover damages or enforce compliance.

5. Ownership of Content and Intellectual Property
As between you and InfiniAds.ai, you retain ownership of the content you provide as input to the platform (“Input”). Subject to applicable law and your compliance with these Terms, InfiniAds.ai assigns to you any rights it may have in the resulting AI-generated output (“Output”). However, due to the probabilistic nature of AI systems, similar or identical outputs may be generated for other users. No guarantee of uniqueness is made or implied.

All other intellectual property rights, including the underlying models, source code, data, documentation, and branding, remain the exclusive property of InfiniAds Labs Pte. Ltd. You may not use our name, logo, or brand assets except in accordance with our published Brand Guidelines or with prior written consent.

6. Billing, Payments, and Subscription Terms
All fees for Services are clearly stated at the time of purchase. By subscribing to a paid plan, you authorize us to charge your designated payment method on a recurring basis according to your selected billing cycle. Subscription fees are non-refundable, except where required by law.

We reserve the right to change pricing at any time. You will be notified of any price increases at least 30 days in advance. If you do not wish to accept the new pricing, you may cancel your subscription before your next renewal.

In the event of payment failure or chargeback, your access to the Services may be suspended or downgraded. You are responsible for any associated taxes, and we reserve the right to collect overdue balances and enforce these obligations through legal means.

7. Service Availability and Termination
InfiniAds.ai reserves the right to modify, suspend, or terminate the Services at any time without liability to you, provided that users with active, prepaid subscriptions will be offered a pro-rated refund where required.

Your access to the Services may be terminated or suspended at our sole discretion if we believe you have violated these Terms, misused the platform, or created undue legal, reputational, or technical risk for InfiniAds.ai or others. We may also terminate inactive accounts after 12 consecutive months of non-use if no active subscription exists.

You may close your account at any time by contacting our support team.

8. Disclaimer and Limitation of Liability
The Services are provided on an “as-is” and “as-available” basis, without warranties of any kind. To the fullest extent permitted by law, InfiniAds.ai disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no guarantees regarding the accuracy, completeness, or usefulness of AI-generated outputs.

InfiniAds.ai shall not be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to loss of data, loss of revenue, or reputational harm. Our total liability, whether in contract, tort, or otherwise, shall not exceed the greater of $100 USD or the amount you paid for Services in the preceding 12 months.

9. Indemnification
If you are using the Services on behalf of a business or organization, you agree to indemnify, defend, and hold harmless InfiniAds Labs Pte. Ltd., its affiliates, employees, and directors from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the Services, your breach of these Terms, or your violation of any law or the rights of a third party.

10. Dispute Resolution and Governing Law
These Terms are governed by the laws of Singapore, without regard to conflict of law principles. You agree that any dispute, controversy, or claim arising out of or in connection with these Terms shall first be addressed through informal resolution. If unresolved, the matter shall be submitted to binding arbitration seated in Singapore under the rules of the Singapore International Arbitration Centre (SIAC).

Class actions and collective claims are expressly disallowed. All claims must be brought in your individual capacity and not as a plaintiff or class member.

11. Copyright and DMCA Compliance
If you believe that your intellectual property has been infringed by any user content on our platform, you may notify us at support@infiniads.ai with the following information:

* Your full name and contact details
* A description of the copyrighted work
* A statement under penalty of perjury that you have a good faith belief the use is unauthorized
* Your electronic or physical signature

We will review and respond to all legitimate takedown requests in accordance with applicable law.

12. General Provisions
These Terms represent the entire agreement between you and InfiniAds.ai regarding the Services and supersede all prior agreements. You may not assign your rights or obligations without prior written consent. We may assign our rights and obligations to any affiliate or successor entity.

Failure to enforce any part of these Terms shall not constitute a waiver of our rights. If any provision is held invalid or unenforceable, it shall be limited or severed to the minimum extent necessary, and the remainder shall remain in full force and effect.
